When families speak of a &#8220;DIFC trust&#8221; or an &#8220;ADGM trust&#8221;, they normally mean a trust whose deed is governed by the law of that centre, often with a trustee or a private trust company established there and with the centre&#8217;s courts chosen as the forum for disputes.<\/p>\n<p>Three separate choices are therefore bundled together. The governing law determines how the deed is interpreted, what powers can be reserved and what duties the trustee owes. The forum determines which court supervises the trustee, hears applications for directions and resolves disputes. The administrative base determines where the trustee, the private trust company, the bank accounts and the holding companies sit. These choices usually align, but they do not have to, and a careful structure decides each of them deliberately.<\/p>\n<h2>Legal Foundations: Codified Law and Imported Common Law<\/h2>\n<p>The DIFC has its own codified trust statute, the DIFC Trust Law (DIFC Law No. 4 of 2018), which replaced the centre&#8217;s earlier trust law and sets out rules on creation, trustee powers and duties, reserved powers, protectors, purpose trusts and the court&#8217;s supervisory jurisdiction. Where DIFC legislation is silent, the DIFC&#8217;s application of laws rules direct the court towards other sources, with English law as a key fallback.<\/p>\n<p>ADGM takes a different route. Its Application of English Law Regulations 2015 make English common law and equity, including the law of trusts, directly applicable in ADGM, supplemented by ADGM&#8217;s own trust-specific regulations. For an adviser trained in English law, the ADGM position is familiar from the first reading. For a family whose advisers already work with DIFC precedents, the codified DIFC statute offers equal certainty in a single text.<\/p>\n<p>Neither approach is weaker. Both produce enforceable trusts with recognised fiduciary duties. The difference lies in where the answer to a hard question will be found: in a DIFC statute interpreted by DIFC judges, or in English case law applied by ADGM judges.<\/p>\n<h2>Regulation: Who Is Actually Supervised?<\/h2>\n<p>The original framing that trusts &#8220;fall under&#8221; a financial regulator needs correcting. A private family trust is not licensed or supervised by the Dubai Financial Services Authority (DFSA) or the ADGM Financial Services Regulatory Authority (FSRA). What these regulators supervise is the business of providing trust services. A professional trustee that acts for clients by way of business in the DIFC must be authorised by the DFSA, and one operating from ADGM must be authorised by the FSRA.<\/p>\n<p>Families that wish to avoid appointing a licensed commercial trustee often use a private trust company that acts only for one family&#8217;s trusts. Both centres accommodate this model, subject to their own conditions, and both expect the family&#8217;s arrangements to satisfy anti-money laundering, beneficial ownership and international tax reporting obligations. Regulation therefore attaches to the trustee and to the service providers, not to the trust deed itself. That distinction matters when choosing between a commercial trustee and a family-controlled vehicle.<\/p>\n<h2>Courts and Enforcement: Where Disputes Will Be Decided<\/h2>\n<p>The DIFC Courts and the ADGM Courts are independent common law courts with English-language proceedings and judges drawn largely from common law jurisdictions. Both can hear trust disputes, supervise trustees and give directions on the administration of a trust.<\/p>\n<p>Their judgments are enforceable within the UAE through the onshore execution courts of the relevant emirate, under the cooperation arrangements each centre has with the onshore judiciary. Enforcement abroad depends on the law of the country where assets sit. For a trust holding offshore portfolios or foreign real estate, the question is not only which UAE court is more familiar, but which judgment a foreign court or bank is more likely to act upon.<\/p>\n<p>One limit applies to both. A financial free zone trust does not change the rules that govern immovable property registered onshore, and onshore UAE law has traditionally not recognised the trust concept in the same way. Onshore real estate is therefore usually held through a company owned by the trustee rather than registered directly in the trustee&#8217;s name. That does not make a trust invisible. Trustees must know and verify the settlor, protector and beneficiaries; banks will ask for the same information; and companies owned by a trust must identify their beneficial owners to the relevant registrar under UAE beneficial ownership rules.<\/p>\n<p>International tax transparency also applies. Trusts and their trustees may have reporting duties under the Common Reporting Standard and FATCA, depending on how they are classified. The realistic objective is controlled disclosure: information reaches regulators, banks and tax authorities that are entitled to it, and goes no further. A structure designed for secrecy rather than privacy is a structure that will fail its first bank onboarding.<\/p>\n<h2>Tax Position: Neutral Platform, Not a Tax Result<\/h2>\n<p>The UAE has no personal income tax, and the choice between DIFC and ADGM does not in itself change the tax outcome. Tax follows the residence of the settlor and beneficiaries, the location of the assets and the entities the trust owns.<\/p>\n<p>Within the UAE, companies held by a trust are subject to Corporate Tax under Federal Decree-Law No. 47 of 2022, at 9% on taxable income above AED 375,000, unless an exemption or Qualifying Free Zone Person status applies to their qualifying income. A family foundation, trust or similar entity that meets the statutory conditions can apply under Article 17 to be treated as tax transparent, so that income is assessed in the hands of its beneficiaries rather than in the structure. VAT at 5% applies to taxable supplies made by any operating entity in the structure. Foreign beneficiaries remain subject to their own countries&#8217; rules, which may tax distributions, attribute trust income or impose reporting obligations. The trust jurisdiction cannot neutralise those rules. A DIFC-law trust with a DIFC private trust company, owning a DIFC holding company that in turn owns the onshore property companies, places the deed, the court and the operating vehicles in one ecosystem. Replacing a director, pledging shares to a lender or obtaining directions from the court can all be handled within one familiar system.<\/p>\n<p>Family B holds 60% of its wealth in listed portfolios booked in London and Zurich, has two beneficiaries resident in the United Kingdom and plans to appoint an international trustee group that works primarily with English-law deeds. An ADGM trust governed by directly applied English law gives that trustee, the foreign banks and the beneficiaries&#8217; advisers a legal framework they already understand, while still placing the structure in a UAE financial centre.<\/p>\n<p>Neither answer is universal. Each is the result of matching the jurisdiction to where assets, people and decision-makers actually sit.<\/p>\n<h2>Original Analysis: The Five-Anchor Seat Test<\/h2>\n<p>A disciplined choice can be reduced to five anchors. Each anchor asks where a part of the structure is already fixed. ADGM offers English trust law applied directly, which international trustees, foreign courts and overseas advisers recognise immediately. The right choice comes from mapping where the assets, beneficiaries, trustee, banks and likely disputes actually sit, and placing the trust where most of that weight already lies. Regulation attaches to trustees, not to the trust itself. Tax follows people and assets, not the seat. Onshore property needs its own holding route. Structured this way, the jurisdiction does not add risk.
